Prepared beta draft — not effective
At a glance: VODER reads accounting data to answer questions and prepare reports. Optional VODER Actions supports contact and invoice changes in Xero. You control Actions separately for each organisation. A complete draft invoice request creates the draft directly; you confirm each of the other six Actions. There is no additional VODER Actions fee. Australian law applies.
By using VODER, you agree to these terms. If you do not agree, do not connect or use VODER.
Using VODER
You need an account with a supported accounting service that you’re authorised to connect. You’re responsible for keeping access to your sign-in email secure, since that’s how you sign in.
When you verify your identity and create a new VODER account, VODER sends one non-promotional welcome email to your email address. It confirms that your account is ready, links to the current Terms, Privacy Policy and data-handling notice, and invites you to reply with feedback. This service message does not sign you up for marketing.
Your Xero connection
VODER’s questions and reports use read-only operations. Optional VODER Actions requires Xero permissions for the supported contact and invoice changes. You can disconnect at any time.
In these terms, Xero data means information obtained through Xero’s APIs, whether raw, processed, derived, or included in an answer from VODER. You confirm that you have all authority, consents, and permissions needed for VODER to access the organisations and people whose Xero data you request.
When you deliberately connect an AI assistant or other tool and ask it a question, you instruct and consent to VODER sending the answer to that tool solely so it can answer your question. You must connect only tools whose provider terms and settings prevent the tool and its provider from using Xero data to train, fine-tune, adapt, enhance, or build an artificial intelligence or machine learning model. You are responsible for the tools you connect and the people or contractors you authorise to use VODER.
Optional VODER Actions for Xero
VODER Actions is a separate, optional beta for Xero. It supports creating contacts and correcting their name or email; creating and editing draft invoices; approving draft invoices; sending approved invoices; and emailing overdue invoices again. Other providers remain read-only. There is no additional VODER Actions fee.
Only an organisation owner can enable or use Actions for that organisation. This control applies to all supported actions together. Creating a draft invoice writes directly after the required details, organisation selection and permission checks and has no duplicate protection. Each of the other six writes requires confirmation. Sending or chasing an invoice emails the recipient shown for confirmation. An accepted email request is not proof of delivery.
Turning Actions off stops further VODER Actions writes for that organisation. It does not undo completed changes or emails, or remove permissions already authorised in Xero. Xero may apply additional permissions to other connected organisations. VODER Actions still requires an organisation owner to enable Actions separately for each organisation.
Quotes, payments, deleting records and editing approved invoices are outside this beta’s supported actions. You remain responsible for the changes and recipients you confirm. The Privacy Policy describes retained action records.
FreshBooks status and access
FreshBooks is available in VODER’s free read-only beta. When you select FreshBooks, VODER takes you directly to FreshBooks to authorise the accounting connection. Creating or signing in to a VODER account with FreshBooks does not connect accounting data.
In these terms, FreshBooks data means information obtained through FreshBooks APIs, whether raw, processed, derived or included in an answer from VODER. You confirm that you have the authority, consents and permissions needed for VODER to access the selected business and the people whose data you request. VODER reads only supported FreshBooks information and does not add, edit or delete FreshBooks records.
When you ask a question through an AI assistant or other tool you deliberately connected, you instruct VODER to send the resulting answer to that tool solely to answer your question. You can disconnect FreshBooks from your VODER account or in FreshBooks under Connected Apps.
QuickBooks status and access
QuickBooks Online is available in VODER’s read-only beta. VODER reads supported QuickBooks data only when you ask a question. It does not add, edit or delete QuickBooks records.
When you select QuickBooks Online while signed in, VODER takes you directly to Intuit to authorise the connection.
QuickBooks scope and purpose
Intuit asks you to authorise the com.intuit.quickbooks.accounting OAuth scope. That provider scope is broad. VODER limits its own QuickBooks operations to connecting the selected company, retrieving the supported QuickBooks accounting information needed to answer the question you ask, returning the answer to the AI assistant you deliberately connected, and operating, securing, troubleshooting and auditing that service. VODER does not write to QuickBooks or use QuickBooks Payments.
QuickBooks data and your authority
In these terms, QuickBooks data means information obtained through Intuit’s APIs, whether raw, processed, derived or included in an answer from VODER. You confirm that you have the authority, consents and permissions needed for VODER to access the selected company and the people whose data you request. VODER acts independently and does not process QuickBooks data on Intuit’s behalf.
Permitted use and connected tools
VODER uses QuickBooks data only for the purposes described in these terms. When you ask a question through an AI assistant or other tool you deliberately connected, you instruct VODER to send the resulting answer to that tool solely to answer your question. You must connect only a tool whose provider terms and settings prevent it and its provider from using QuickBooks data to train, fine-tune, adapt, enhance or build an artificial intelligence or machine learning model.
You must not sell, license or supply QuickBooks data obtained through VODER; use it for advertising or model training; scrape, archive or substantially reproduce Intuit or QuickBooks data, products or services; benchmark Intuit or QuickBooks; or bypass usage limits, access controls or security measures. The only permitted onward delivery is the limited answer sent to the tool you deliberately connected for the question you asked.
Disconnecting and deleting QuickBooks data
You may disconnect QuickBooks Online separately from your VODER account and billing choices. Disconnection withdraws consent and immediately prevents future live VODER reads from QuickBooks. VODER then starts token deletion and the deletable-data process described in the Privacy Policy. Disconnection does not cancel a subscription, delete your VODER account, delete records held by Intuit, or delete an answer already held by you or your AI assistant. You and the tools you control must stop using and securely delete QuickBooks data obtained through VODER, except where law requires retention.
To use QuickBooks through VODER again, reconnect it from your VODER account and authorise the connection with Intuit.
Xero pricing, local access and free trial
Each connected Xero organisation has its own monthly subscription at the regional price shown on the VODER pricing page and at checkout. Prices on the pricing page are estimates. Before you subscribe, checkout shows the final currency, price, tax and first billing date. A new organisation gets 24 hours of local VODER access before subscription. If the organisation has not had a VODER trial before, its 7-day free trial starts only when you subscribe, and nothing is charged during its first seven days.
Reconnecting, adding another member or opening checkout again does not restart local access or a free trial.
FreshBooks and QuickBooks Online currently include free VODER beta access. FreshBooks and Intuit may charge separately for their own services. VODER will publish and provide any applicable transition or billing terms before beta access changes.
When Xero paid billing starts
An organisation owner chooses whether to subscribe through VODER. If you never subscribe, VODER will not charge you under this offer. For an eligible new trial, the first monthly charge follows the trial; checkout shows the exact first billing date.
Checkout shows the organisation, exact price, monthly billing, first billing date, cancellation route and what happens when access ends. Only an organisation owner can subscribe.
Cancelling a Xero subscription
An organisation owner can cancel anytime from their VODER account before the next billing date. Cancellation stops the next charge. Access continues until the end of the current trial, transition or paid period. Email support@voder.ai if you need help.
When Xero paid access ends
After a trial, transition or paid period ends without a current subscription, VODER stops answering questions from that organisation’s Xero data. VODER then removes its app connection from Xero after Xero confirms the connection is gone. This does not change or delete your accounting records in Xero.
VODER keeps the account, organisation, sharing, invitation and feedback records. Ending access is not an account-deletion request. Reconnecting depends on available Xero connection capacity. This lifecycle starts only after VODER sends the relevant notice and makes checkout available.
Answers are informational
VODER surfaces information from Xero to help you; it is not financial, accounting, or tax advice. Check important figures in Xero before acting on them. Some answers can be incomplete. For example, a recent payment may not appear until it has been reconciled in Xero.
Acceptable use
Don’t misuse the service, attempt to disrupt or break it, or use it for anything unlawful.
Use Xero data only through features supported by VODER, for your authorised organisation’s lawful business purposes. You must not use VODER or Xero data obtained through VODER to:
- sell or license Xero data, aggregate it for supply as a data product, or disclose it to another app, tool, or third party, except for the limited, consented delivery to the tool you deliberately connect as described above;
- access an organisation, system, or data without permission; scrape or reverse engineer Xero or VODER; or bypass usage limits, access controls, or security measures;
- resell or sublicense access to Xero or VODER, conduct competitive analysis or benchmarking of Xero, substantially reproduce Xero’s products or services, or attempt to move customers off Xero; or
- provide lending, insurance, bank feeds, payments, underwriting, or other financial services unless VODER confirms in writing that Xero has approved that use.
You must not use data made available through VODER to train, fine-tune, adapt, enhance, or build an artificial intelligence or machine learning model. You must not allow any AI assistant, app, connector, service, or other tool you connect to VODER to use that data for those purposes.
Protect access to VODER, Xero data, FreshBooks data, and QuickBooks data. Tell us immediately at security@voder.ai if you suspect unauthorised access, use, or disclosure. We may suspend, limit, or end access when reasonably needed to protect Intuit, Xero, VODER, users, or data, or to comply with law or our provider obligations.
Our Privacy Policy explains how VODER collects, stores, uses, shares, secures, retains, and deletes data. These restrictions are intended to keep use of VODER consistent with the Xero Developer Platform Terms and, when QuickBooks is connected, the Intuit Terms of Service for Intuit Developer Services.
Intellectual property
VODER™ and VODER Actions™ are trade marks of Windy Road Technology Pty Limited. The VODER name, logos, software, and content are owned by us or our licensors. These terms do not give you a right to use them except as needed to use VODER. You must not suggest that we sponsor or endorse you, or that you are affiliated with us, unless we agree in writing.
No warranty
VODER is provided “as is” during this early phase. We don’t guarantee it will be uninterrupted or error-free.
Liability
To the extent permitted by law, the liability of VODER arising from your use of the service is limited. Nothing in these terms excludes rights you have under Australian Consumer Law.
Changes
We may update the service and these terms. We will publish a new version and effective date when we do. The current Terms and Privacy Policy remain available on the VODER website.
Governing law
These terms are governed by the laws of Australia.
